A China Manufacturing Contract is a written agreement between a foreign buyer and a Chinese factory that governs the production of goods — covering quality standards, payment terms, delivery, tooling ownership, IP, and what happens if the factory delivers defective or late goods.
Is this different from the OEM Supply Agreement?
The Manufacturing Contract is a complete single-engagement agreement covering one production run or a defined period. The OEM Supply Agreement is a master framework for an ongoing supply relationship with a purchase-order structure. If you're doing repeat orders over months or years, the OEM Supply Agreement is the more powerful tool.
Why does it need to be bilingual?
Chinese courts require the contract to be in Chinese to enforce it. A contract only in English, or with a Chinese translation that 'translates' rather than 'governs,' may be unenforceable. In this template, the Chinese version governs — meaning the Chinese text is the authoritative legal document.
