Terms of Sale — The Factory Floor

These Terms of Sale ("Terms") govern your purchase of digital products from SOURCEPROGZ LIMITED ("we," "us"), trading as The Factory Floor, via thefactoryfloorhq.com. By purchasing, you accept these Terms.
1. What you are buying.
Digital products — contract templates, calculators, tools, and other downloadable files or web tools ("Products"). Products are delivered electronically, immediately on purchase. These terms cover Products only. Services performed in person, such as Factory Verification, are sold under their own terms, published on the page where you buy them.
2. Not legal advice.
The Products are provided for general informational and educational purposes only. They are not legal, tax, or professional advice, and your purchase or use of them does not create a lawyer-client (attorney-client) relationship with us or any individual. We are not a law firm. You must have any template reviewed, adapted, and finalized by a professional qualified in the relevant jurisdiction before you rely on it, sign it, or provide it to any third party.
3. License (what you may and may not do).
We grant you a non-exclusive, non-transferable license to use the Products for your own business or personal purposes, including editing a template for your own transactions. You may not resell, redistribute, sublicense, republish, or share the Products themselves, or offer them as your own templates, whether free or for payment.
4. No warranty.
The Products are provided "as is" and "as available," without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, or legal enforceability in any jurisdiction. Laws and enforcement practice change and differ by jurisdiction and by deal; we do not warrant that any Product is suitable or sufficient for your situation.
5. Limitation of liability.
To the maximum extent permitted by law, our total aggregate liability to you for any claim arising from or relating to the Products is limited to the amount you paid for the relevant Product. We are not liable for any indirect, incidental, consequential, special, or punitive damages, or for any lost profits, lost business, or losses arising from your use of (or inability to use) the Products.
6. Refund policy.
If a product doesn't help, email cengiz@thefactoryfloorhq.com within 7 days for a full refund. No forms, no hoops. This applies to the digital Products above. It does not apply to in-person services, which carry their own cancellation schedule on the page where you buy them.
7. Your responsibility.
You are solely responsible for how you use the Products, for verifying their suitability for your situation, and for obtaining qualified professional advice before relying on them.
8. Governing law.
These Terms are governed by the laws of Hong Kong SAR, and any dispute relating to your purchase will be subject to the exclusive jurisdiction of the courts of Hong Kong. (Note: this governs the sale between you and the buyer. It is separate from the law that governs each contract template itself, which is PRC law as stated in the template.)
9. Changes.
We may update these Terms; the version in effect at the time of your purchase applies to that purchase.
